I think the problem probably lies with how Win9x handles "services".  In
reality, they have little in common with NT's definition of a service.
Starting a service in Win9x could more accurately be described as a "silent
start" option.  An application can be launched without requiring login, the
app can have dependencies and it can be made "non-interactive", but that's
about it :)  "Shutdown" behaves just like a regular application exit, and a
Win9x service cannot be restarted [as a service] without a reboot.
Launching the application again manually causes it to behave as a regular
app [i.e., accessible via system tray or MDI/SDI interface].

I would think to overcome the problem you're experiencing an additional
registry key would be necessary and some code tweaking.  E.g., HKLM or HKCU
| SOFTWARE | ORL | WinVNC | DWORD: SkipShutdownWarning = 0 or 1 (defaulting
to 0)
