newbie VNC X-server setup problem?

My version looks like this:

#!/bin/sh
xrdb $HOME/.Xresources
xsetroot -solid grey
xterm -geometry 80x24+10+10 -ls -title "$VNCDESKTOP Desktop" &
fvwm &

As you can see, it contains commands to start both
an xterm and a window manager (the last 2 lines)
